Terms and conditions

themindsocial is a social and brand agency based in Nicosia, Cyprus, founded by Stella Nikolaou. These terms apply to every proposal, quote and piece of work we carry out, unless a signed agreement says otherwise. Where a signed agreement and these terms disagree, the signed agreement wins.

Every quote sets out what is included, what it costs and how long it takes. A quote is valid for 30 days from the date it is issued.

Work outside the agreed scope is quoted separately before it starts. We will not carry out extra work and invoice for it afterwards without your written approval.

Retainers are invoiced monthly in advance. Project work is invoiced 50 percent on acceptance and 50 percent on delivery, unless the quote says otherwise.

Invoices are payable within 14 days. Work may be paused on overdue accounts, and we will tell you before that happens.

Media spend on paid campaigns is billed separately and paid directly to the platform, unless we have agreed otherwise in writing.

You are responsible for supplying brand assets, product information, access to accounts, and approvals within the timeline we agree. Delays in those can move delivery dates.

You confirm that anything you supply is yours to use, including photography, logos, music and any likeness of a person.

Each deliverable includes two rounds of revisions. Further rounds, reshoots, or changes of direction after approval are quoted before they start.

On full payment, ownership of the final approved deliverables transfers to you.

We keep ownership of working files, source projects, internal templates and anything we built before or outside this engagement. Stock assets, fonts and music remain under their own licences, which we will name where relevant.

Unless you ask us not to, we may show the work in our portfolio and on our own channels.

We keep your commercial information, figures and plans confidential, and we expect the same of ours. This continues after the work ends.

We plan and execute to a standard, and we report honestly on what happened. Platform reach, engagement and advertising performance depend on factors outside our control, including algorithm changes and market conditions, so specific results are not guaranteed.

Retainers can be ended by either side with 30 days written notice. Work completed or committed within that period remains payable.

If a project is cancelled once it has started, the deposit is not refundable and any work completed to that point is invoiced.

Our liability in connection with any engagement is limited to the fees paid for the work it relates to. We are not liable for indirect or consequential loss, including lost profits or lost data.

Nothing in these terms limits liability where the law does not allow it to be limited.

We only use the details you send us to reply to you and to carry out the work. We do not sell them and we do not pass them to anyone else except where a platform or supplier needs them to deliver the service.

These terms are governed by the law of the Republic of Cyprus, and the courts of Cyprus have jurisdiction.
